• "Services" refers to residential placement and related services provided by Vertex Homes
• "Agreement" refers to these Terms and Conditions and any service-specific agreements
• "Property" refers to residential apartments, penthouses, and other living spaces
• "Website" refers to all web pages operated by Vertex Homes

2. Acceptance of Terms

By engaging our services, accessing our website, or communicating with Vertex Homes, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services.

These terms constitute the entire agreement between you and Vertex Homes regarding our services, superseding any prior agreements or understandings.

3. Service Description

Vertex Homes provides residential placement services in Taiwan, assisting clients in finding and securing apartment rentals. Our services include property search, viewing coordination, lease review, and related consultation.

We offer three service tiers:

• Essential Selection: Basic residential placement services
• Premier Collection: Comprehensive placement with dedicated support
• Signature Concierge: Full-service residential placement with ongoing assistance

Specific services included in each tier are detailed on our website and in service agreements.

4. Service Limitations

Vertex Homes acts as a consultant and facilitator. We do not own, manage, or have legal control over the properties we present. Property availability, conditions, and lease terms are determined by property owners.

We make reasonable efforts to:

• Verify property information and ownership
• Present properties that match client requirements
• Provide accurate information to the best of our knowledge
• Facilitate communication between clients and property owners

However, we cannot control all aspects of properties or property owners' decisions, and successful placement depends on various factors beyond our control.

5. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your requirements and circumstances
• Respond promptly to requests for information or documentation
• Attend scheduled property viewings or notify us in advance if unable to attend
• Conduct your own due diligence regarding properties and lease terms
• Review all documentation carefully before signing any agreements
• Comply with all applicable laws and regulations
• Treat property owners, their representatives, and our staff with respect
• Pay agreed fees in a timely manner

6. Fees and Payment

Service fees are specified at the time of engagement and vary by service tier. All fees are quoted in Taiwan Dollars (TWD) and are subject to applicable taxes.

Payment Terms

• Fees are typically due upon execution of service agreement
• Payment methods include bank transfer, credit card, or other agreed methods
• Invoices will be provided for all payments
• Late payments may incur additional charges as specified in service agreements

Refund Policy

Refunds are generally not provided after services have commenced. However, we may offer partial refunds in the following circumstances:

• Service cancellation within 48 hours of engagement (subject to conditions)
• Inability to provide agreed services due to factors within our control
• Mutual agreement between client and Vertex Homes

7. Intellectual Property

All content on our website, including text, graphics, logos, and images, is the property of Vertex Homes or our content providers and is protected by Taiwan and international copyright laws.

You may access and use our website for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from our content without written permission.

Property listings, photographs, and descriptions provided to you during our service are for your personal use in evaluating properties and may not be shared publicly or used for commercial purposes.

8. Confidentiality

We maintain confidentiality of client information in accordance with our Privacy Policy. Information shared with us will not be disclosed to third parties except as necessary to provide services, with your consent, or as required by law.

Similarly, you agree to maintain confidentiality of any proprietary information about our business practices, property owner relationships, or other sensitive information you may learn through our service.

9. Disclaimers

Our services are provided on an "as is" and "as available" basis. While we strive for accuracy and quality, we make no warranties or representations regarding:

• The availability of specific properties
• The accuracy of all property information (you should verify details independently)
• Suitability of any particular property for your needs
• Actions or decisions of property owners or landlords
• Uninterrupted or error-free website operation

We are not real estate agents and do not provide legal, financial, or tax advice. You should consult appropriate professionals for such guidance.

10. Limitation of Liability

To the maximum extent permitted by Taiwan law, Vertex Homes, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of our services or inability to use our services.

Our total liability to you for any claims arising from our services shall not exceed the amount of fees you paid for the specific service giving rise to the claim.

This limitation applies regardless of the legal theory on which the claim is based, including breach of contract, negligence, or other torts.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vertex Homes and its employees from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms and Conditions
• Your violation of any rights of third parties
• Any disputes between you and property owners or landlords
• Inaccurate or misleading information you provide

12. Termination

Either party may terminate the service relationship in accordance with the terms of the specific service agreement. Generally, clients may terminate with written notice, though fees already paid may not be refundable depending on services already rendered.

We reserve the right to terminate or suspend services if you breach these Terms and Conditions, provide false information, or engage in behavior we deem inappropriate or harmful.

Sections of these Terms relating to confidentiality, intellectual property, disclaimers, limitation of liability, and indemnification shall survive termination.

13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the Republic of China (Taiwan). Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Taipei, Taiwan.

Before initiating formal legal proceedings, parties agree to attempt to resolve disputes through good faith negotiation. If negotiation is unsuccessful, mediation through a mutually agreed mediator may be pursued.

Entire Agreement

These Terms and Conditions, together with any service-specific agreements and our Privacy Policy, constitute the entire agreement between you and Vertex Homes.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
